AZVA TERMS OF SERVICE

Last Updated: October 19, 2026

Effective Date: October 19, 2026

---

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using Azva ("the Platform," "we," "us," "our"), you ("you," "User," "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

IMPORTANT: We strongly recommend you have these Terms reviewed by your own attorney and accountant before accepting. Government contracting involves significant legal and financial obligations. Azva is a software tool β€” it is not legal counsel, tax advice, or a guarantee of contract awards.

---

2. DESCRIPTION OF SERVICE

Azva provides AI-powered software tools to assist with the government contracting process, including but not limited to:

  • Opportunity discovery and matching (Scout)
  • Bid/no-bid analysis and scoring (Scorer)
  • Proposal drafting assistance (Drafter)
  • Deadline and amendment tracking (Tracker)
  • Pipeline management (Closer)
  • Proposal review and compliance checking (Reviewer)
  • AI assistant support (Ava)

Azva is a productivity tool. It does not:

  • Guarantee contract awards, revenue, or business outcomes
  • Provide legal advice, tax advice, or accounting services
  • Submit bids, proposals, or quotes on your behalf without your explicit written approval
  • Replace your obligation to verify all information, comply with solicitation requirements, or meet federal contracting regulations

---

3. NO GUARANTEE OF AWARDS

Azva does not guarantee that you will win any government contract. Government contracting is competitive. Your success depends on many factors beyond our control, including but not limited to: your qualifications, past performance, pricing, the competitiveness of other bidders, and agency discretion.

Any testimonials, examples, or case studies are illustrative only and do not promise similar results.

---

4. YOUR RESPONSIBILITIES

You are solely responsible for:

a) Accuracy: Verifying the accuracy of all information in any proposal, bid, or submission created with Azva's assistance.

b) Compliance: Ensuring your submissions comply with all applicable federal, state, and local laws, regulations, and solicitation requirements, including but not limited to the Federal Acquisition Regulation (FAR).

c) Review: Thoroughly reviewing every document before submission. Azva's AI agents assist with drafting and review but do not replace human judgment.

d) Approval: Providing explicit approval before Azva takes any submission action on your behalf. Azva will never submit a bid, proposal, or quote without your documented approval.

e) Eligibility: Confirming your business meets all eligibility requirements for any opportunity you pursue (set-aside certifications, NAICS codes, size standards, etc.).

f) Legal Counsel: Consulting with your own attorney and accountant regarding the legal and financial implications of any government contract you pursue.

---

5. SUBMISSION APPROVAL PROCESS

Before Azva submits any bid, proposal, or quote on your behalf:

1. You will be presented with the complete document for review.

2. You must explicitly click "I Approve" or provide equivalent written confirmation.

3. Your approval is logged with a timestamp, IP address, and the specific document approved.

4. You may alternatively download all documents and submit manually β€” Azva will never override this choice.

You acknowledge that any submission made after your approval is your action, not Azva's independent decision.

---

6. SUBSCRIPTION AND BILLING

a) Plans and pricing. Azva offers subscription plans ranging from $97 to $2,497 per month, as described on our pricing page. We may update plan names, features, and prices from time to time; material price changes to your current plan will be communicated at least 30 days in advance.

b) Free trial. Standard ($297/month) and Professional ($497/month) plans include a 7-day free trial. A valid credit or debit card is required to start a trial. You will not be charged until the 7-day trial period ends. You may cancel at any time during the trial and pay nothing. If you do not cancel before the trial ends, your card will be charged the applicable monthly plan price and your paid subscription begins.

c) Founding members. The first 100 customers ("Founding 100") are grandfathered at $97/month with premium plan limits for as long as their subscription remains active and in good standing. If a Founding 100 subscription is cancelled, the grandfathered pricing is forfeited and cannot be restored.

d) Billing cycle. Subscriptions are billed monthly in advance. Your billing date is the anniversary of your subscription start date (or trial conversion date).

e) Payment processing. Payments are processed by Stripe, our third-party payment processor. By providing a payment method, you authorize Azva (via Stripe) to charge the applicable fees. We do not store full credit card numbers on our servers.

f) Failed payments. If a payment fails, we will attempt to notify you and retry. If payment is not received within 14 days of the due date, we may suspend your access until the balance is paid.

g) Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period β€” you retain full access until then. We do not provide refunds or prorated credits for partial months, including months cancelled mid-cycle.

h) Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, or value-added taxes.

---

7. INTELLECTUAL PROPERTY

a) Azva's property. Azva owns all right, title, and interest in the Platform, including its software, AI agents, prompts, workflows, scoring models, designs, logos, and branding. Nothing in these Terms transfers any ownership interest in Azva's intellectual property to you.

b) Your data. You retain all ownership rights in the business information, documents, and content you upload or enter into Azva ("Customer Data"). You grant Azva a limited license to process Customer Data solely to provide the service to you.

c) AI-generated output. Content generated by Azva's AI agents at your direction (proposal drafts, analyses, capability statements) is licensed to you for use in your business, including submission to government agencies. This license is contingent on your subscription being in good standing and does not include the right to resell Azva's underlying models, prompts, or workflows.

d) Feedback. If you provide suggestions or feedback about Azva, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you.

e) Restrictions. You may not copy, modify, reverse-engineer, or create derivative works of the Platform, nor use Azva's trademarks or branding without written permission.

---

8. LIMITATION OF LIABILITY

a) Service provided "as is." Azva is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

b) AI-generated content. Azva uses artificial intelligence to generate drafts, analyses, scores, and recommendations. AI output may be inaccurate, incomplete, outdated, or non-compliant with solicitation requirements. Azva does not warrant the accuracy, completeness, or legal sufficiency of any AI-generated content. You are solely responsible for reviewing and verifying all AI output before relying on it β€” see Sections 4 and 5.

c) No liability for contracting outcomes. To the maximum extent permitted by law, Azva is not liable for: lost contract awards or bid opportunities; rejected, disqualified, or non-compliant proposals; lost profits or revenue; suspension or debarment; or any penalties arising from your submissions β€” regardless of whether Azva assisted in preparing them.

d) Cap on liability. Azva's total aggregate liability arising from these Terms or your use of the Platform will not exceed the amounts you paid to Azva in the twelve (12) months preceding the claim, or $500, whichever is greater.

e) Exclusion of consequential damages. In no event will Azva be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities.

f) Essential purpose. The limitations in this section apply even if a limited remedy fails of its essential purpose, and to the fullest extent permitted by applicable law. Some jurisdictions do not allow certain limitations; in those cases, Azva's liability is limited to the minimum extent permitted.

---

9. INDEMNIFICATION

a) By you. You agree to indemnify, defend, and hold harmless Azva, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (i) your use of the Platform; (ii) any bid, proposal, or submission you make using Azva, including claims of false statements or non-compliance; (iii) your violation of these Terms or applicable law; or (iv) your infringement of any third party's intellectual property or other rights.

b) By Azva. Azva agrees to indemnify you against third-party claims that the Platform itself infringes a third party's intellectual property rights, provided you promptly notify us and cooperate in the defense. This is Azva's sole obligation with respect to infringement claims regarding the Platform, and it does not extend to AI-generated content you chose to use or submit.

---

10. DISPUTE RESOLUTION

a) Informal resolution first. Before filing any formal proceeding, you agree to contact us at our support channel and attempt to resolve the dispute informally for at least 30 days.

b) Binding arbitration. If informal resolution fails, any dispute arising from these Terms or your use of Azva will be resolved by binding arbitration administered under the commercial arbitration rules of the American Arbitration Association, conducted in Raleigh, North Carolina, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

c) Class action waiver. You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

d) Exceptions. Either party may seek injunctive or equitable relief in court to protect intellectual property rights, and either party may bring qualifying claims in small claims court.

e) Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

---

11. TERMINATION

a) By you. You may terminate your account at any time by cancelling your subscription (see Section 6(g)). Termination takes effect at the end of your current billing period.

b) By Azva for convenience. Azva may terminate your account for any reason with 30 days' written notice, with a prorated refund of any prepaid fees for the unused portion.

c) By Azva for cause. Azva may suspend or terminate your account immediately, without notice, if you: (i) breach these Terms; (ii) fail to pay fees due; (iii) submit fraudulent, misleading, or unlawful content; (iv) misuse the Platform or attempt to compromise its security; or (v) use Azva in a way that exposes Azva to legal liability.

d) Effect of termination. Upon termination: your access to the Platform ends; your Customer Data is retained for 30 days (see Privacy Policy), after which it may be deleted; and Sections 7, 8, 9, and 10 survive termination.

---

12. CHANGES TO TERMS

We may update these Terms. Material changes will be communicated via email at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance. If you do not agree to updated Terms, you may cancel your subscription before the changes take effect.

---
